1. Agreement to Terms

Welcome to US Auto Export. These Terms and Conditions ("Terms") govern your use of our website, mobile application, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

US Auto Export is operated by USAutoExport LLC, a company registered in Michigan, United States with its principal place of business at 6500 Mercantile Way, Suite 5, Lansing MI 48911, USA.

2. Definitions

• "Buyer" means any user who purchases or attempts to purchase a vehicle through our Services.
• "Seller" means any user who lists a vehicle for sale through our Services.
• "Vehicle" means any motor vehicle listed for sale on our platform.
• "Export" means the process of shipping a vehicle from the United States to an international destination.
• "User" means any person or entity that accesses or uses our Services.

3. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding contracts.
• You are not located in a country that is subject to U.S. government embargo or that has been designated as a "terrorist supporting" country.
• You are not listed on any U.S. government list of prohibited or restricted parties.
• You will comply with all applicable laws and regulations, including export control laws and sanctions programs.

4. User Accounts

To access certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms.

5. Vehicle Listings

Sellers are solely responsible for the accuracy and completeness of their vehicle listings. By listing a vehicle, you represent and warrant that:

• You have clear title to the vehicle and the right to sell it.
• All information provided about the vehicle is true, accurate, and not misleading.
• The vehicle is not stolen, encumbered, or subject to any undisclosed liens.
• You will promptly update the listing if the vehicle becomes unavailable.

US Auto Export does not independently verify vehicle listings and is not responsible for any inaccuracies or misrepresentations.

6. Purchases and Payments

When you purchase a vehicle through our Services:

• You agree to pay the full purchase price plus any applicable fees, taxes, and shipping costs.
• Payment must be made in accordance with our payment terms, which may require a deposit followed by full payment prior to shipping.
• All payments are processed through third-party payment processors. We do not store your payment information.
• Prices are quoted in U.S. Dollars unless otherwise specified. Currency conversion rates may apply.

7. Shipping and Delivery

US Auto Export offers shipping services to international destinations. By using our shipping services:

• You agree to pay all shipping costs as quoted prior to shipment.
• Shipping times are estimates and not guaranteed. Delays may occur due to factors beyond our control.
• Risk of loss passes to the Buyer once the vehicle is loaded onto the shipping vessel.
• Buyer is responsible for all import duties, taxes, and customs clearance at the destination port.
• We strongly recommend purchasing marine insurance for all shipments.

8. Inspections

Buyers have the right to inspect vehicles prior to purchase. Inspection options include:

• In-person inspection at our Lansing, Michigan facility by appointment.
• Third-party inspection services arranged by the Buyer at their expense.
• Virtual inspections via video call.

If a vehicle is not as described in the listing, Buyer may reject the vehicle prior to shipping and receive a full refund of the purchase price.

9. Returns and Refunds

Our return and refund policy is as follows:

• Before Shipping: Full refund of purchase price if vehicle is not as described.
• After Shipping: All sales are final. No returns or refunds after vehicle has shipped.
• Shipping Costs: Shipping costs are non-refundable once the vehicle has been picked up.
• Deposits: Deposits are refundable only if the vehicle is not as described or if the transaction is cancelled due to seller default.

10. Prohibited Activities

You may not use our Services to:

• Violate any applicable laws or regulations.
• Infringe upon the rights of others.
• Transmit any viruses, malware, or harmful code.
• Attempt to gain unauthorized access to our systems.
• Interfere with the proper functioning of our Services.
• Engage in any fraudulent or deceptive practices.
• List vehicles that you do not have the right to sell.

11. Intellectual Property

All content on our Services, including text, graphics, logos, images, and software, is the property of US Auto Export or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

12. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL US AUTO EXPORT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX MONTHS PRECEDING THE CLAIM OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS LESS.

14. Indemnification

You agree to indemnify, defend, and hold harmless US Auto Export, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or violation of these Terms.

15. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Ingham County, Michigan.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of our Services shall first be attempted to be resolved through informal negotiations. If the dispute cannot be resolved through negotiations, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Lansing, Michigan.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms.
